THIS IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR AN ENTITY) AND PRODUCT OWNER FOR THE SOFTWARE PRODUCT. BY INSTALLING, COPYING, OR OTHERWISE USING THE PRODUCT, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE PRODUCT.

END USER LICENSE AGREEMENT
Upupdown (the "Author") hereby grants you a non-exclusive license (the "License") to use the Software Product identified above, including, but not limited to, manuals and related documentations (collectively, the "Software"), subject to the terms and conditions set forth in this agreement. This Agreement will also govern any Software upgrades provided by the Author that replace and/or supplement the original Product, unless such upgrades are accompanied by a separate license, in which case the terms of that license will govern.
1. GRANT OF LICENSE.
This License grants you the following rights.
a. Except as set forth below, you may use the Software on one single computer and one GPS unit. You may also install a copy for your exclusive use on either a home or portable computer with condition to run Software on one computer at the same time.
b. You may store or install a copy of the Software on a storage device, such as a network server, used only to install or run the Software over an internal network; however, you must acquire and dedicate a license for each individual who will use the Software. A License for the Software may not be shared or used concurrently on different computers and GPS units. If the Software is installed on a network server or other system that physically allows shared access to the Software, you agree to provide technical or procedural methods to prevent use of the Software by individuals not specifically licensed to use the Software pursuant to this Agreement.
2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
a. IT IS EXPRESSLY FORBIDDEN TO USE THE SOFTWARE FOR ILLEGAL PURPOSES, INCLUDING VIOLATION OF ANY INTELLECTUAL PROPERTIES FOR DIGITAL DATA OF THIRD PARTIES.
b. The Software is owned by the Author and is protected by United States copyright laws and international treaty provisions. Therefore, you may not use, copy, or distribute the Software without authorization.
c. You may not sell, rent, lease, or loan the Software.
d. You may not reverse engineer, decompile, disassemble, vary, modify the Software, or create derivative works based upon the Software. You may only distribute links to the Web page of the Software ("http://uud.info").
3. PROPRIETARY RIGHTS.
The Author, for itself and on behalf of its licensors, hereby reserves all intellectual property rights in the Software except for the rights expressly granted in this Agreement. You may not remove or alter any trademark, logo, copyright or other proprietary notice in or on the Software. This license does not grant you any right to use the trademarks, service marks or logos of the Software or its licensors.
4. TERMINATION.
If you breach this Agreement your right to use the Software will terminate immediately and without notice, but all provisions of this Agreement except the License Grant (Paragraph 1) will survive termination and continue in effect. Upon termination, you must destroy all copies of the Software.
5. DISCLAIMER OF WARRANTY.
THE SOFTWARE IS PROVIDED "AS IS" WITH ALL FAULTS. TO THE EXTENT PERMITTED BY LAW, THE SOFTWARE LICENSORS HEREBY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES THAT THE SOFTWARE IS FREE OF DEFECTS, FIT FOR A PARTICULAR PURPOSE AND NON-INFRINGING. YOU BEAR ENTIRE RISK AS TO SELECTING THE SOFTWARE FOR YOUR PURPOSES AND AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE. THIS LIMITATION WILL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.
6. LIMITATION OF LIABILITY.
EXCEPT AS REQUIRED BY LAW, THE AUTHOR OR HIS SUPPLIERS, LICENSORS, CONTRIBUTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN ANY WAY RELATING TO THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE PRODUCT, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, LOST PROFITS, LOSS OF DATA, AND COMPUTER FAILURE OR MALFUNCTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH SUCH CLAIM IS BASED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, SO THIS EXCLUSION AND LIMITATION MAY NOT APPLY TO YOU.
7. INDEMNIFICATION OBLIGATIONS OF LICENSEE
Licensee shall defend, indemnify, and hold Licensor harmless from any claims, losses, expenses, fees (including attorneys' fees), costs or damages arising in connection with a Modification or Licensee's unauthorized use of the Licensed Software or Documentation.
8. TRADEMARK
GARMIN and MapSource® are the trademark or registered trademark of Garmin Ltd. or its subsidiaries. In addition, all names of products and companies used in this Software or the enclosed documentation may be trademarks of their corresponding owners.
9. GOVERNING LAW
This Agreement shall be governed by the laws of Japan, without giving effect to principles of conflict of laws. You hereby consent to the exclusive jurisdiction and venue of the Tokyo District Court to resolve any disputes arising under this agreement. In each case this agreement shall be construed and enforced without regard to the United Nations Convention on the International Sale of Goods.
10. LIMITATION OF AUTOMATIC ROUTING GENERATION
a. A route generated with this Software does not contain any road restriction such as one-way road. This Software is recreational purpose only, and not a replacement of the car navigation system.
b. You are responsible for the vehicle. You may be in danger when you simply follow the route and may violate traffic rules. Always drive safely and follow traffic rules. Do not use the automatic routing and navigation feature if you do not understand this limitation.
ABOUT MAP INCLUDED IN THIS SOFTWARE
a. This map is based on the Publication of Digital Map 5,000,000 (General) as well as Digital Map 25,000 (Spatial Data Framework) published by the Geographical Survey Institute of Japan (Kokudo Chiri-in), Ministry of Land, Infrastructure and Transport, JAPAN with its approval under the article 29 of Surveying Law (Approval Number #107, SO-FUKU 2006).
b. This map also uses the Digital Map 25,000 (Geographical Names & Public Facilities) as well as the Digital Map 50m Grid (Elevation) published by the Geographical Survey Institute of Japan (Kokudo Chiri-in), Ministry of Land, Infrastructure and Transport, JAPAN with its approval under the article 30 of Surveying Law (Approval Number #64, SO-SHI 2006).
